Term and conditions

Quotes & Delivery

Quote Acceptance: Quotes must be accepted in writing (email confirmation) and are valid for 1 month from quote date.

Pricing: All prices exclude VAT and additional services. Additional services include but are not limited to photography, image manipulation, stock images, transport, materials, printing, and delivery.

Changes: Any adjustments to agreed project requirements, deliverables, or timeline after work has begun may result in additional costs. Such changes will be quoted separately if significant.

Revisions: Quotes include 2 rounds of corrections to existing design concepts, plus delivery of final materials. New concepts, major redesigns, or significant changes beyond the original brief constitute additional work. Additional rounds of corrections will be billed at the standard hourly rate.

Client Response Time: Client has 30 days to request revisions after delivery or work is considered approved.

Quote Overruns: If a quote is significantly exceeded, client will be notified immediately and a revised quote will be provided for approval.

Client Delays: If the client misses deadlines for providing materials, information, or feedback, the designer is no longer responsible for original delivery timeline. Extended delays may result in invoicing for completed work, project suspension, restart fees, or a revised quote based on the updated scope and timeline.

Quality & Liability

Client Approval: Client provides final approval of all materials before printing, going live, or implementation. Designer is not responsible for errors after client approval.

Pre-Approval Issues: Any errors or concerns must be raised before final approval is given.

Third-Party Services: Designer is not responsible for printing errors, server issues, or other third-party service problems.

Payment & Work Hours

Hourly Rate: Unless otherwise agreed, work is billed at the current hourly rate of 800 DKK upon project completion or monthly, whichever comes first.

Standard Hours: Normal work hours are weekdays 9-17. Work outside these hours is billed at hourly rate + 50%.

Payment & Rights

Payment Terms: Net 30 days from invoice date. Late payments accrue interest in accordance with Danish law. Overdue accounts will first receive reminders, and if payment is still not received, the claim may be transferred to debt collection after 30 days.

Advance Payment: Some projects may require advance payment as specified in the quote.

Invoice Disputes: Invoice disputes must be submitted in writing via email within 1 week of receipt. Client may only withhold payment for the disputed portion.

Usage Rights: Client receives unlimited usage rights to completed materials and ownership of any domains included in the delivery. No rights are transferred until full payment has been received.

Client-Provided Materials: Client is responsible for ensuring they own rights to all materials provided (text, images, logos, etc.). Designer is held harmless from any legal disputes arising from client’s use of third-party owned content.

Portfolio & Documentation Rights: Designer may feature completed projects in portfolios, case studies, and promotional materials, showing the work as delivered to the client.

Template Creation Rights: Designer may adapt design concepts, layouts, and visual approaches from client projects into generic template packages for sale, provided no client-specific intellectual property is included.

Client Property: All client logos, proprietary content, and specific business information remain exclusively the client’s property.

Legal Compliance & Materials

Client Responsibility: Client ensures all work complies with relevant laws, industry standards, and regulations.

Special Requirements: Client must inform designer in writing of any specific legal or product requirements that must be considered.

Liability Exclusion: Designer is not liable for indirect losses, consequential damages, or lost profits from approved deliveries. Liability is limited to direct damages not exceeding the project fee.

Right to Remedy: Designer has the right to correct technical issues and re-deliver corrected work before other remedies are pursued.

Confidentiality & File Storage

Confidentiality: Both parties will treat internal information about each other confidentially during and after collaboration. This obligation continues indefinitely unless otherwise agreed in writing.

File Storage: Designer stores project files for 1 year after delivery. After this period, files may be deleted without further notice.

Standard Delivery: Final deliverables include print-ready PDFs, high-resolution images, and web-optimized files as appropriate. Working project files (AI, InDesign, video project files, etc.) remain the property of the designer and are available for an additional fee. Large files may require external storage media at cost.

File Delivery: Project files will be provided upon request during storage period, provided no outstanding payments are owed.

Delivery Costs: Client pays for time spent and associated costs for file delivery at standard rates.

Project Cancellation

Cancellation Process: Project cancellation must be submitted via email. Ongoing work will be stopped and costs limited where possible.

Payment Due: Client pays for costs already incurred or caused by the cancellation, plus time spent at standard rates. A minimum cancellation fee of 20% of the total project quote applies.

Website-Specific Terms

Content Responsibility: All website content, images, and text must be provided by client in electronic format unless otherwise agreed. Additional writing or image editing will be billed separately.

Security & Technical Limitations: No guarantee that plugins, themes, or security measures provide 100% protection. Designer is not responsible for hacking, spam, security breaches, server downtime, hosting issues, or third-party service failures.

Backups: Client is responsible for ongoing website backups unless specifically contracted otherwise.

Handover: Upon final payment, all passwords, hosting access, and domain controls transfer to client. Client becomes responsible for ongoing hosting and domain payments.

Updates & Maintenance: Client is responsible for theme and plugin updates after delivery unless ongoing maintenance is specifically contracted.

General Provisions

Communication: All formal communications must be via email.

Governing Law: These terms are governed by Danish law and any disputes will be resolved in Danish courts in Copenhagen.

Severability: If any provision is unenforceable, the remaining terms remain valid.

Force Majeure: Designer may be unavailable due to illness, emergencies, natural disasters, or other circumstances beyond reasonable control. Deadlines will be adjusted accordingly with client notification.
